Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the Leaddek platform and services provided by Onyxx Media Group LLC ("Provider"). By accessing or using Leaddek, you agree to these Terms.

2. Services

Leaddek provides a CRM, marketing automation, AI-powered tools, communication tools, and related business software ("Services"). We may update, modify, or discontinue features at our discretion with reasonable notice.

3. Account & Billing

• You must provide accurate account information.
• Subscriptions are billed monthly or annually as selected. All fees are non-refundable unless otherwise stated.
• Failed payments may result in suspension of your account. You remain responsible for all charges incurred.
• Usage-based charges (SMS, voice, email, AI) are billed at the rates specified in your plan.

4. Acceptable Use

You agree not to:

• Send unsolicited bulk messages (spam)
• Violate any applicable laws (CAN-SPAM, TCPA, GDPR)
• Attempt to access other users' accounts or data
• Reverse-engineer, decompile, or scrape the platform
• Use the AI features to generate harmful, illegal, or deceptive content
• Resell access to the platform without written authorization

5. Intellectual Property

Your Data: You retain ownership of all content, contacts, and data you input into Leaddek.

Our Platform: Leaddek, its design, code, AI models, workflows, and infrastructure are the exclusive property of Onyxx Media Group LLC. You receive a limited, non-exclusive license to use the platform during your active subscription.

6. AI Features

Leaddek AI features are powered by third-party AI models. AI outputs are provided "as is" and should be reviewed before use. We do not guarantee accuracy, completeness, or suitability of AI-generated content. You are responsible for all content sent to your contacts.

7. Termination

• You may cancel your subscription at any time. Access continues through the end of the billing period.
• We may suspend or terminate your account for violation of these Terms with or without notice.
• Upon termination, we will provide your data export within 30 days of request.

8. Limitation of Liability

To the maximum extent permitted by law, Leaddek and Onyxx Media Group LLC shall not be liable for indirect, incidental, special, or consequential damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. No Guarantees

We do not guarantee specific results, leads, revenue, or performance metrics from use of the platform. The Services are provided "as is" without warranties of any kind.

10. Disputes

These Terms are governed by the laws of the State of New Jersey. Disputes shall first be resolved through good-faith negotiation, then non-binding mediation in Bergen County, NJ. If unresolved, binding arbitration under AAA rules in Bergen County, NJ. The prevailing party recovers reasonable attorneys' fees.

11. Changes

We may update these Terms with 30 days' notice. Continued use after the notice period constitutes acceptance.
